
Atheros Communications Announces Acquisition of Attansic Technology Company
Atheros Communications announced earlier today the acquisition of Attansic Technology Company, a privately held Taiwan-based fabless semiconductor company specializing in Fast and Gigabit Ethernet integrated circuit solutions for PC, access point (AP) and router applications. Attansic was a majority-owned subsidiary of ASUSTek Computer Inc., the world leading supplier of PC motherboards and manufacturer of modems and gateways through its Askey subsidiary. Attansic is headquartered in Hsinchu, Taiwan and has a large presence in Shanghai.
With the acquisition of Attansic, Atheros gains a highly skilled engineering team with strong mixed-signal and Ethernet design expertise. Diodes Inc. Acquisition of Anachip Corp Announced
Pamir Law Group acted for Diodes Inc. in its recently announced acquisition of Anachip Corp.
Diodes Inc, a NASDAQ-listed computer chipmaker, acquired Anachip Corp from Lite-On Semiconductor Corp, and two Taiwanese venture capital firms for approximately TWD 1.0 billion (US$ 30.0 million) in cash. Headquartered in Hsinchu Science-Based Industrial Park, Anachip produces computer chips and related semiconductor products. This acquisition will allow Diodes to increase its production capacity; the acquisition is expected to add to Diodes 2006 earnings.
Diodes Incorporated Completes Acquisition of APD Semiconductor
Diodes Incorporated announced earlier today that the acquisition of APD Semiconductor has been successfully completed.
APD Semiconductor, Inc. is headquartered in Redwood City, California, with a design center in Seattle, Washington, and a sales, application, and administration center in Taipei, Taiwan. APD Semiconductor’s main product focus is its patented and trademarked Super Barrier Rectifier™ (“SBRTM”) technology. Utilizing a low cost IC wafer process, the Super Barrier Rectifier™ technology uses a MOS cellular design to replace standard traditional Schottky or PN junction diodes.

Atheros Communications Completes Acquisition of ZyDAS Technology Corporation
Amkor Technology Inc Acquisition of Unitive Semiconductor Taiwan Corp Announced
Pamir Law Group acted for Amkor Technology Inc. in its recently announced acquisition of Unitive Semiconductor Taiwan Corp and Unitive Inc.
Amkor Technology Inc agreed to acquire a majority 60% stake in Unitive Semiconductor Taiwan Corp for an undisclosed amount. In a separate but related transaction, Amkor Technology agreed to acquire Unitive Inc. Unitive Semiconductor Taiwan is a joint venture between Unitive and various Taiwanese investors. Both companies to be acquired are providers of semiconductor packaging products and services. The combined consideration for both transactions is US$48 million in cash plus $23 million in assumed liabilities.
In addition, the Unitive Semiconductor Taiwan agreement provides for a performance base earn-out that is estimated to be $2 million. The Unitive agreement provides for a performance based earn-out of $55 million maximum to be paid one year from closing in cash or stock at Amkor's discretion. The current Unitive and Unitive Semiconductor Taiwan management teams in North Carolina and Taiwan have been retained.
