Bilingual International Transactional Attorney

  • At least four 4-12 years of international transactional experience at US/UK law firm or in-house position.
  • Availability to travel within China.
  • Experience representing international clients and leading transactions in complex cross-border corporate/corporate finance and structuring matters, fair trade, venture capital/private equity matters, commercial contracts, M&A, IP licensing, real estate, banking, tax and international joint ventures.
  • China transactional experience preferred.
  • Excellent communications and drafting skills required.
  • Superior spoken and written Mandarin skills essential.
  • Living experience abroad considered strong assets but not required.
  • Proactive positive work attitude, leadership skills, high EQ and team player mentality.
  • JD/LL.M from US, UK or Taiwan law school with US, UK or Taiwan bar admission.

Executive Legal Secretaries

  • At least three (3) years of secretarial experience with an international law firm, accounting firm or multinational corporation.
  • Superior spoken and written English and Chinese skills essential. Comfortable communicating directly with clients in English and Chinese, in writing and verbally, on behalf of professionals.
  • Proactive positive work attitude, leadership skills, high EQ and team player mentality. Able to take full responsibility for tasks to completion with little supervision. Can supervise small projects with other colleagues.
  • Result-oriented thinking. Creative and flexible ‘outside the box’ mentality to problem-solving.

  • Expertise in Microsoft Word, Excel, Powerpoint and other Microsoft Office software. Able to independently handle complex formatting of text and graphic documents for legal documents and presentations. Able to produce finalized documents with little need for revision by professionals.
  • Can work under pressure and multi-task efficiently. Able to work quickly without sacrificing accuracy. Able to work overtime as needed.

Regulatory Consultant, Researcher or Paralegal

Support professionals in a wide range of projects which might include governmental and regulatory filings related to set up and operating businesses, foreign direct investment, market entry, employment, trademark registrations, M&A, finance and structuring, contracts, tax and international joint ventures.

We seek successful candidates with below qualifications:

  • Basic English/Chinese drafting skills.

Professional Skills and Experience:

  • 3 to 5 years of related government regulatory experience at an accounting firm, consulting company, or in-house legal or law firm position.
  • Undergraduate degree in law, accounting or business is a must. Masters degree preferred.
  • In addition to experience representing international clients in cross-border corporate matters. will be highly valued.
  • China transactional experience preferred, but not required.

Bilingual In House Consultant

Scope of Responsibility

  • Team and manage projects involving cross border inbound and outbound investment projects, mergers and acquisitions, client and company operational and commercial issues.
  • Utilize knowledge and experience of PRC business and laws to assist in structuring international business transactions by foreign companies or investors, including but not limited to structuring WFOEs, FICEs and joint ventures investments.
  • Negotiate, review and draft complex commercial business contracts, joint venture agreements, merger agreements, and assets or equity purchase and sale agreements, and other commercial contracts.
  • Draft contracts and memos in both Chinese and in English.
  • Research, analyze and provide consulting services on PRC governmental regulations and commercial activities.
  • Make inquiries to Chinese government officials on related work.
  • Conduct and manage due diligence review of Chinese companies that are targets for foreign acquisitions or investments.

Essential Qualifications

  • Bachelor or Master Degrees in Law.
  • PRC bar.
  • At least three years of related work experience with comparable scope of responsibilities.
  • Work experience with international firms or companies or extensive work experience in international transactions highly desirable.
  • Good command of written and spoken Chinese and English skills.
  • Ability to draft Chinese contracts and Chinese and English memos.
  • Excellent contract drafting skills.
  • In-depth working knowledge of China foreign direct investment laws, company laws, labor laws, anti-monopoly laws, corporate governance practices of Chinese companies, and PRC laws in the areas of non-compete, corporate confidentiality, anti-corruption and bribery.
  • Knowledge of PRC tax and intellectual property laws. Experience in international business transactions involving the above areas required.
  • Knowledge and experience of IPO, security laws, and RMB funds.
  • Excellent leadership and team work skills.
  • Ability to take initiative to propose step-by-step plans for organizing, facilitating, and completing projects.
  • Responsible self-starter with strong ability to execute, follow up on and complete plans on own initiative without prompting from others.
  • Good judgment and common sense with high sense of professionalism and teamwork.
  • Excellent communication, people management and project management skills.
  • Able to work in fast-paced environment, under pressure and tight schedules.
  • Able to provide creative solutions to enhance productivity, efficiency and effectiveness of business.
